Terms of Service

Please read carefully. These Terms govern your access to and use of the Verdride carpooling platform.

⚠ Please Read Carefully These Terms of Service contain important information about your legal rights, remedies, and obligations, as well as certain exclusions and limitations of liability.
Introduction

About Verdride & These Terms

These Terms of Service apply to all services provided by Next Earth Technologies LLC, a limited liability company registered in the United States, operating the Verdride service (hereinafter referred to as "Verdride," "we," "us," or "our").

Verdride provides an online platform that connects drivers who have empty seats in their vehicle and will be making a trip with individuals seeking to make the same trip and looking for transportation (collectively, the "Services"), made available through our website, mobile applications, and any related subdomains (collectively, the "Service").

By using the Service — whether or not you register — you understand and agree to be legally bound by these Terms of Service. If you do not agree, you have no right to continue using the Service. Failure to abide by these Terms may subject you to civil and criminal penalties.

Important Notice: Verdride is solely a communications platform. We are not a party to any agreements between Drivers and Passengers, have no control over the conduct of Members, and are not an insurer, agent, or broker. You disclaim us of all liability in this regard to the maximum extent permitted by law.
Section 1

Common Definitions

Member
A Driver, Passenger, or any other registered user of the Service.
Driver
A person using the Service to offer spare seats in their vehicle to share with Passengers.
Passenger
A person using the Service to book seats in a Driver's vehicle.
Account
A profile created by a Member to access the Verdride service.
Trip
A journey between an origin and destination at a given date and time, including pick-up/drop-off details, created and maintained by a Driver.
Booking
The act of paying the Contribution for a Trip through the Service before the Trip happens.
Request
Posted by a Passenger looking for a Trip between an origin and destination on a particular date.
Contribution
A sum agreed and paid by the Passenger to the Driver to cover trip costs. Cannot accrue profit for the Driver.
Booking Fee
A service fee of 10% added atop the Contribution, paid by the Passenger at time of Booking.
Payment
The total amount paid by a Passenger when Booking (Contribution + Booking Fee).
Payout
Contributions accrued from Bookings sent to the Driver via Stripe Direct Deposit Pay.
Payout Method
The method used to send a Payout to a Driver — Stripe Direct Deposit Pay.
Cancellation Allowance
The ability for Drivers to cancel a maximum of one Trip with approved passengers or one approved Booking every six months.
Ridesharing
The act of sharing a Trip in a vehicle among a Driver and Passenger(s) in exchange for a Contribution.
Section 2

Changes to the Terms of Service

Verdride reserves the right, at its sole discretion, to modify the Service or these Terms of Service — including the Booking Fee — at any time and without prior notice. If we modify these Terms, we will post the modification on the Website or via the Mobile Application, or otherwise provide you with notice.

We will also update the "Last Updated" date at the top of these Terms. By continuing to access or use the Service after modifications are posted, you indicate that you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, your only recourse is to cease using the Service.

Section 3

Your Responsibilities

We ask Members to verify their identity through their email or phone number. We do not investigate any Member's reputation, conduct, morality, criminal background, or other information posted on the Service. You are responsible for exercising common sense and determining the suitability of other Members.

You are solely responsible for your interactions with other Members of our Service. We will not be responsible for any damage or harm resulting from your interactions with other Members. We reserve the right to monitor interactions and restrict access to any Member posting material we consider objectionable.

Release

As our Service is a facilitator, in the event of a dispute between you and another Member, you release us (and our affiliates) from claims, demands, and damages (actual or consequential) of any kind and nature — known or unknown, suspected or unsuspected — arising out of or in any way connected with such disputes.

Section 4

Your Conduct

As a Member of this Service, you must act responsibly and exercise good judgment. This includes, but is not limited to:

  • Driving carefully, respecting traffic laws, not being under the influence, and operating a vehicle in proper functioning order that has passed any required inspections.
  • Not infringing the rights of any third party, including intellectual property, privacy, publicity, or contractual rights.
  • Not using information obtained through this Service for any unauthorized purpose.
  • Not interfering with or damaging the Service.
  • Not using this Service to distribute spam.
  • Respecting other Members — no harassment, abuse (verbal or physical), or stalking is tolerated.
  • Not using the Service for commercial activities, unless otherwise directly agreed with Verdride.
  • Not registering to the Service on behalf of another individual.
  • Being at least 18 years old and legally able to enter into binding contracts. By accessing or using Verdride you represent that you are 18 or older.
  • Not assisting a third party in doing any of the above.

Reporting Misconduct

If you feel that another Member has acted inappropriately — including offensive, violent, or sexually inappropriate behavior — you must immediately report such person to the appropriate authorities and to us. Your report does not obligate us to take action or incur any liability.

Section 5

Use and Access of the Service

No Commercial Activities

The Service is strictly limited to providing a platform for Drivers and Passengers to rideshare in a private capacity. The Service may not be used to offer or accept ridesharing for profit or in any commercial or professional context, unless otherwise agreed by contract with Verdride.

Drivers may not profit from any Trip. The Contribution may only be used to cover the Driver's costs and may not generate profit. This applies to all activities, arrangements, and services booked using the Service.

Drivers may NOT post trips speculatively. Drivers can only post trips when they are 100% certain of when and where they are travelling, to ensure reliability for Passengers.

Insurance Notice: Using this Service in a commercial or professional capacity may invalidate a Driver's insurance. It is each Member's responsibility to verify their insurance coverage while ridesharing.

Creating an Account

To access the rideshare service, each Member must create an Account by:

  • Registering with email and password, or via OAuth (Google/Apple/Facebook) where available.
  • Verifying your email address and maintaining access to it.
  • Verifying your cell phone number.
  • Providing your legal first and last name.
  • Uploading a well-lit profile photo that clearly shows your face.
  • Providing an accurate personal description, age, and gender.
  • Agreeing to our Terms of Service and Privacy Policy.

You agree to be the sole owner of your Account and not to share access with anyone. You agree that all actions, communications, and bookings on the Service are made solely by you. You must notify us immediately of any unauthorized use of your login credentials.

Section 6

Features of the Service

Trips

Drivers propose Trips by providing origin, destination, date, time of departure, seats available, and any other relevant details. Passengers can exchange messages and place Bookings on a Trip.

Messaging

Private Messages can be exchanged after a Booking is confirmed. These are visible only to the Driver and Passenger involved. Personal contact details may not be shared through our messaging service until a Booking has been approved.

Bookings

Passengers may book seats only by completing an online payment. After a successful Booking, the Driver and Passenger are bound to that Booking and any cancellations are subject to the Cancellation Terms below.

Drivers choose between two booking systems:

  • Request to Book: The Driver manually approves or declines each Booking Request. A payment authorization is placed on the Passenger's card and captured only upon approval. If declined or expired, no charge is made.
  • Instant Book: Bookings are automatically approved and Passengers are immediately charged. These Bookings are final and subject to the Cancellation Policy.

Payments

All payments on Verdride are processed in United States Dollars (USD). To provide a reliable experience, all Payments must be processed online using Verdride's secure payment service. Cash, e-transfers, or any other offline payments are not allowed and may lead to account closure.

Verdride uses Stripe, a third-party secure payments gateway, to process payments. Stripe is certified to PCI Service Provider Level 1. Your credit card information is kept safely with Stripe and no sensitive payment information is stored on Verdride servers.

The Booking Fee equates to 10% of the total Trip Contribution.

Payouts to Drivers

After a Trip, Passenger payments go through a clearing period of four (4) days, during which disputes may be raised. After this period, the Contribution (minus the Booking Fee) is sent to the Driver via their selected Payout Method (Bank Account).

Payouts are sent once per day. Processing times after dispatch:

  • Bank account: estimated 2–5 business days

If a valid Payout Method is not entered within twelve (12) months of the Payout being created, the Payout is forfeited and the funds are deemed to belong to Verdride.

Cancellation Policy — Drivers

A Driver may cancel a trip without approved passengers at any time, with no penalty. A Driver may cancel a maximum of one trip with approved booking(s) or one approved booking in a six-month period (the "Cancellation Allowance"). A second cancellation within that six-month period will put the Driver's account under review.

When a Driver cancels: passengers receive a 100% refund of Contribution and Booking Fee; a cancellation review is added to the Driver's profile; and Verdride assesses whether the Driver was at fault.

Cancellation Policy — Passengers

  • More than 24 hours before departure: Full Contribution refunded; Verdride retains the 10% Booking Fee.
  • Less than 24 hours before departure: Driver receives 50% of Contribution; Passenger receives 50% refund; Verdride retains the 10% Booking Fee.
  • After scheduled departure or no-show: Driver receives 100% of Contribution; no refund to Passenger; Verdride retains the 10% Booking Fee.

Disputes

Drivers and Passengers have four (4) days after a Trip's scheduled departure to dispute a Booking, Cancellation, or Payment. Beyond this four-day window, refunds will not be processed.

Section 7

Community Agreement

By agreeing to these Terms of Service, you also agree to our Community Agreement, which outlines how we expect Members to use our Service.

Anti-Discrimination Policy

Verdride is an equal opportunity community. We will not allow discrimination within our community on the basis of race, creed, color, national origin, sex, gender identity, sexual orientation, religion, disability, or any other protected characteristic. Allegations of discrimination may lead to preventive or permanent closure of a Member's account.

Anti-Harassment Policy

Verdride is committed to providing a community free from harassment. Harassment based on sex, race, ethnicity, national origin, age, religion, or any other legally protected characteristics will not be tolerated. No Member will be adversely affected for bringing complaints of unlawful harassment. Allegations of harassment may lead to preventive or permanent closure of a Member's account.

Anti-Sexual Harassment Policy

Sexual harassment is behavior of a sexual nature that is unwelcome and offensive. This includes unwanted physical contact, sexually offensive language, sexual propositions, obscene gestures, and displays of sexually explicit material. Use of the Verdride platform to view, display, or disseminate sexually explicit material may also constitute harassment. Allegations may lead to permanent closure of a Member's account.

Reporting

If you feel you have been harassed or discriminated against on the basis of any legally protected characteristic, contact Verdride immediately. All complaints will be handled in as discreet and confidential a manner as possible, and any necessary corrective action will be taken where appropriate.

Section 8

Privacy

We understand the concerns you may have about your privacy and respect your right to protect your personal information. Our Service is designed to allow Members to post only the details necessary for Trips — dates, locations, and relevant travel information. We may collect other personal information that we do not publish on our Service.

By agreeing to these Terms of Service, you also agree to our Privacy Policy. Please refer to our Privacy Policy for full details on data collection, use, and your rights.

Verification & Identity

We ask Members to verify their identity by linking their email address, phone number, and a valid government-issued ID to their account. Drivers must provide a valid driver's license. We do not investigate Members' reputation, conduct, or criminal history — exercise common sense when interacting with others.

Information collected during the verification process will not be sold, shared, or rented to third parties. Identity documents uploaded for verification will be destroyed within 7 days of successful verification, and any backup copies will be destroyed within 30 days thereafter.

Security

Verdride is committed to safeguarding your information. We encrypt sensitive information using SSL technology and follow generally accepted industry standards to protect personal information both during transmission and at rest. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.

We will make any legally required disclosures of any breach of the security, confidentiality, or integrity of your personal data to you via email or conspicuous posting on the Service in the most expedient time possible, consistent with the legitimate needs of law enforcement.

Third-Party Content

In using our Service, you may be exposed to content from other Members or third parties, either on our Service or through links to third-party websites. We do not control and have no responsibility for third-party content. You must evaluate and bear all risks associated with such content.

Section 9

Liability, Warranties, Indemnity & Legal Matters

Limits of Liability

Verdride shall not be liable for damages of any kind — including direct, indirect, incidental, special, consequential, exemplary, or punitive damages — even if we have been advised of the possibility of such damages, arising from:

  • Your ability or inability to use our Service.
  • The cost of replacement goods, services, or information obtained through our Service.
  • Disclosure of, unauthorized access to, or alteration of your content.
  • Loss or corruption of data, service interruptions, or procurement of substitute services.
  • Conduct of any Member, including bodily injury, emotional distress, or death resulting from communication with or meeting other Members.
  • Any other matter arising from, relating to, or connected with our Service.

Verdride's liability to any Member's claim shall not exceed a maximum of $25 USD.

Disclaimer of Warranties

If you use our Service, you do so at your sole risk. Our services are provided on an "as available" basis. We expressly disclaim all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, timely, secure, or error-free.

Indemnity

You shall defend, indemnify, and hold Verdride and Next Earth Technologies LLC harmless from any claim, demand, action, damage, loss, cost, or expense — including reasonable attorneys' fees — arising out of or relating to your use of our Service or violation of these Terms.

Intellectual Property

All material on our Service is protected by copyright, trademark, service marks, patents, trade secrets, or other applicable proprietary rights. Unless expressly authorized by us, you may not sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publish, or create derivative works from such material. You may not systematically retrieve data from our Service to create databases, directories, or downloads without prior written permission.

Legal Compliance

You shall use the Service in a manner consistent with all applicable local, state, national, and international laws and regulations.

Section 10

Termination & Discontinuance of Service

Termination

We may, in our discretion and without liability to you, with or without cause (such cause may include your breach of these Terms of Service), with or without prior notice and at any time, terminate your access to the Service.

Discontinuance of Service

We may, in our discretion and without liability to you, with or without prior notice and at any time, modify or discontinue, temporarily or permanently, any portion of the Service.
